Kursol (ABN 27 682 164 030) ("we," "us," or "our") operates the website at www.kursol.com.au (the "Site") and provides AI automation consulting services to Australian businesses.

These Terms & Conditions ("Terms") govern your access to and use of the Site and our services. By accessing or using the Site or our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.

These Terms should be read together with our Privacy Policy, which describes how we collect, use, and protect your personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.

1. Acceptance of Terms

By accessing or using the Site, submitting information through our contact forms, using our AI Assessment Tool, or engaging our consulting services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are using the Site or services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to both you individually and the entity you represent.

These Terms are governed by the laws of New South Wales, Australia, and the Commonwealth of Australia, including the Australian Consumer Law (ACL) set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth).

2. Description of Services

Kursol provides AI automation consulting services, including:

  • AI Assessment Tool: A free online tool that analyses your business processes and provides AI automation recommendations.
  • Discovery Calls: Complimentary consultations to discuss your business needs and identify automation opportunities.
  • AI Implementation Services: Custom design, development, testing, and deployment of AI automation systems, AI assistants, and internal tools.
  • Ongoing Support: Maintenance, optimisation, and scaling of deployed AI systems.

Specific deliverables, timelines, and fees for implementation services are governed by separate service agreements between you and Kursol.

3. AI-Generated Content Disclaimer

Kursol uses artificial intelligence technologies, including third-party AI models, in the delivery of certain services and tools on this Site, including our AI Assessment Tool.

You acknowledge and agree that:

  • AI-generated recommendations, analyses, and outputs are intended as general guidance only and do not constitute professional, legal, financial, or technical advice.
  • AI outputs may contain inaccuracies, errors, or omissions. You should independently verify any information before making business decisions based on it.
  • Results from AI tools, including estimated time savings, ROI projections, and automation recommendations, are not guarantees of outcomes. Actual results will vary based on your specific circumstances, implementation approach, and other factors.
  • You are solely responsible for evaluating the suitability of any AI-generated recommendations for your business and for seeking qualified professional advice where appropriate.

Nothing in this disclaimer excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (ACL) or any other applicable law that cannot be excluded, restricted, or modified by agreement.

4. Intellectual Property

All content on the Site, including text, graphics, logos, images, software, and other materials, is the property of Kursol or its licensors and is protected by Australian and international intellectual property laws, including the Copyright Act 1968 (Cth) and the Trade Marks Act 1995 (Cth).

You may view and print pages from the Site for your own personal or internal business use, subject to the restrictions in these Terms. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from the Site without our prior written consent.

Intellectual property rights in any custom work product created during the course of our consulting services are governed by the terms of the applicable service agreement between you and Kursol.

5. Consumer Guarantees Under Australian Consumer Law

Our services come with guarantees that cannot be excluded under the Australian Consumer Law (ACL). For major failures with a service, you are entitled to:

  • Cancel the service contract; and
  • Receive a refund for the unused portion of the service; or
  • Receive compensation for the reduction in value of the services provided.

You are also entitled to choose a refund or replacement for major failures with goods.

If the failure does not amount to a major failure, you are entitled to have the service re-supplied or to receive a refund for the reduction in value of the services, at our discretion.

You are also entitled to be compensated for any other reasonably foreseeable loss or damage resulting from a failure in the services.

Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition implied or imposed by the ACL or any other applicable Australian law which cannot lawfully be excluded or limited.

6. Limitation of Liability

Subject to Section 5 (Consumer Guarantees Under Australian Consumer Law) and to the maximum extent permitted by law:

The Site and all content, tools, and services are provided "as is" and "as available." Except for guarantees that cannot be excluded under the ACL, Kursol makes no representations or warranties of any kind, whether express or implied.

Kursol does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components, or that any AI-generated content will be accurate or complete.

To the extent permitted by law, Kursol excludes all liability for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Site, our tools, or our services.

Where Kursol's liability cannot be excluded under the ACL but can be limited, Kursol's total aggregate liability is limited, at Kursol's option, to:

  • The re-supply of the services; or
  • The payment of the cost of having the services re-supplied.

7. User Obligations

When using the Site and our services, you agree to:

  • Provide accurate and truthful information when submitting forms or using our tools.
  • Use the Site and services only for lawful business purposes.
  • Not attempt to gain unauthorised access to any part of the Site, its servers, or any connected systems.
  • Not use automated tools, bots, scrapers, or similar technologies to access or extract data from the Site without our express written permission.
  • Not reverse-engineer, decompile, or disassemble any software or technology used on the Site.
  • Not transmit any viruses, malware, or other harmful code through the Site.
  • Not use the Site in any manner that could damage, disable, overburden, or impair its functionality.

We reserve the right to restrict or terminate access for any user who violates these provisions.

8. Governing Law & Disputes

These Terms are governed by the laws of New South Wales, Australia. The courts of New South Wales shall have non-exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

Before initiating any legal action, you agree to first attempt to resolve any dispute through good-faith negotiation by contacting us at hello@kursol.io. Both parties agree to engage in good-faith discussions for a period of at least thirty (30) days.

If the dispute cannot be resolved through negotiation within thirty (30) days, either party may refer the dispute to mediation administered by a mutually agreed mediator, or failing agreement, a mediator appointed by the Resolution Institute. The costs of mediation shall be shared equally between the parties.

Nothing in this section limits either party's right to seek urgent interlocutory relief from a court of competent jurisdiction.

9. Modifications

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Effective Date" at the top of this page.

For material changes, we may provide additional notice, such as posting a prominent notice on the Site. Your continued use of the Site or services after any modifications constitutes your acceptance of the updated Terms.

We encourage you to review these Terms periodically to stay informed of any changes.

10. General Provisions

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kursol regarding your use of the Site. Separate service agreements govern the provision of our consulting services.

No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision shall be effective only if in writing and signed by Kursol.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Kursol may assign its rights and obligations without restriction.
